<p>The entire province of Ontario became more efficient for one hour on February 7<sup>th</sup> 2012.</p>
<p>Once every 18 months the Independent Electricity System Operator (“IESO”) completes a province wide voltage reduction test.  The purpose of this test is to determine the power savings that can be achieve by reducing voltage.  In short, if a power plant was to catastrophically fail, would lowering voltage by 5% reduce energy consumption enough to keep the province running?</p>
<p>There are two key takeaways:</p>
<p><strong>1. Most buildings can reduce voltage by a minimum of 5%.  The voltage reduction test took place on February 7<sup>th</sup>, 2012.  Did you even notice? </strong></p>

<p>For a brief one hour period all of Ontario was using less energy, polluting less and spending less money to run its buildings.  What would happen if every building operated at a more energy efficient voltage level?  Legend Power can make this happen.</p>

During 2011, we developed a compelling strategic plan, properly priced and positioned our product and reduced our cost of running the business. We have completed our revamp of all areas of our business and we will closely monitor our results and where required, continue to fine tune areas of the company for optimum results. Our “reengineering” of Legend Power is done; it is time to profitably grow the business.</p>
<p>Quite frankly, after the first quarter of 2011, it was apparent that the incumbent sales team and existing sales system were not capable of consistently meeting corporate revenue targets. I am now confident that changes have been made to correct that.</p>
<p>During the summer, we added Peter Hwang as our Director of Sales based in Toronto. Peter is a proven energy industry performer and together we have engaged three very experienced energy sales directors to represent Legend Power in the Ontario market. Peter and his team have sold tens of millions of dollars of energy efficiency solutions throughout Ontario over the last several years. In my opinion, this is an “A” sales team.</p>
<p>The primary goal of the new sales team is to ensure that we achieve our sales potential by utilizing a systemic and repeatable sales model. This model will be replicated and stamped within any territory and expanded aggressively with strategic channel partners. The key was developing and validating it prior to a large scale expansion.</p>
<p>The sales team has implemented some key strategic objectives to ensure a successful sales launch. Firstly, they initiated a core lead generation strategy that is on track and measuring to create sufficient leads to drive our sales target. This level of activity combined with our completely revamped value proposition and supporting marketing collateral provides the sales team with enough qualified prospects to quickly ramp up revenue and achieve on-going profitability.</p>
<p>This ongoing level of consistent activity with a clear and concise message is the key to our success. We developed and implemented a sales training program which is being used internally and with our new key channel partners.</p>
<p>Legend Power will soon announce significant progress on securing partnerships with proven energy solution resellers to resell our solutions in Ontario and when appropriate to other regions across North America.</p>
<p>By implementing our new process over the last few months, we have received several new commitments for future installations of our products.</p>
<p>We will continue to utilize our Q &amp; A format update based on the most common questions asked by our shareholders:</p>
<p><strong>How are things going? Are you making progress?</strong></p>
<ul>
<li>We continue to implement our business plan and we are securing commitments for our products. We have taken the necessary steps to ensure we have proven sales talent and a world-class sales system to drive our sales. Since our September implementation of the new system, results have been very positive and we believe we have the right sales process in place to be successful.</li>
<li>We continue to manage the cost of running the business and manage our cash very closely. We are focused on growing our revenue so we quickly achieve profitability.</li>
<li>We also are having numerous senior discussions with International property managers, resellers and other strategic clients that could result in “company-maker” contracts.</li>
</ul>
<p><strong>Since the January 2011 turnaround launch, what have you learned and do you still believe Legend Power will be successful?</strong></p>
<ul>
<li>I have no doubt we will be successful. Our team is pumped about the future of Legend Power.</li>
<li>Turnarounds take time and one must be open to challenging the status quo and have the will to implement positive change. We have the will and we are most certainly committed to take the necessary steps to make Legend Power successful. In short, we are absolutely committed.</li>
<li>We have “listened to the voice of our customer” and we are making the necessary changes to our business to align our customers’ expectations with our solutions and services. We have made huge strides here and we will continue to modify our business practices appropriately.</li>
<li>We have experienced some funding incentive approval and payment delays since the Ontario Power Authority (OPA) altered their incentive program. Although the changes have been mainly administrative, we are working with the OPA to improve the timeliness of processing our incentive requests and payments so we can provide timely information to our prospects. We expect the program delays to be eliminated by the end of this year.</li>
<li>Our new sales team and sales processes continue to properly engage our prospects and systemically drive the buying process to shorter sales cycles. The changes made to our sales personnel and systems are the most profound improvement made since I joined the company. We have very high expectations of our sales team and processes.</li>
</ul>
<p><strong>There hasn’t been much news on Legend Power. Do you expect more press releases about the company’s progress on a go forward basis?</strong></p>
<ul>
<li>Yes. During a turnaround, although there is a lot of activity and progress, the progress may not be press worthy. We have had long “quiet” periods without issuing news releases but on a go forward basis you should expect more press releases detailing clear proof that we are making solid progress.</li>
<li>With continued positive results we will be more aggressive in sharing our story and progress with the investment community.</li>
</ul>
<p><strong>So you are confident that Legend Power has a bright future and will prove to be a good investment for your stakeholders?</strong></p>
<ul>
<li>Absolutely. We have worked hard to turn around the company and achieve alignment with our prospects and markets. Before we changed the sales team and process, we were trying to sell technology and everything we did made it seem complicated and perhaps even risky.</li>
<li>We have implemented a sales system that has been validated by our prospects and third party industry players. We have taken huge strides to present a proper business solution to our target markets in a way that they understand and value the business impact our solution may have in their organizations.</li>
<li>The new sales team is an experienced professional group with many successful sales years in our target markets. Our resellers have existing relationships with our prospects and they have developed significant trust with our prospects over the years. The resellers are very excited about our product and our sales system and are committed to growing their sales of Legend Power solutions.</li>
<li>Overall we have made great progress turning around Legend Power. Today’s Legend Power is very different from the Legend Power of late 2010:

<li>We have clarity on our business strategy</li>
<li>Team morale is high</li>
<li>Monthly burn rate cut in half</li>
<li>Reduced product costs and increased margins.</li>
<li>Proven new sales team and process</li>
<li>Reseller channel growing</li>
<li>Target market feedback is very positive</li>
</ul>

<p>Legend Power’s journey of corporate renewal continues. We launched our new business plan in January and we are encouraged that our plan and the implementation of our sales strategies are working. <p>We continue to take the necessary steps and actions required to ensure that our turnaround plan leads to a sustainable, compelling and successful long term enterprise that rewards all stakeholders. We are not cutting corners and focusing on short term results. The Legend Team has a plan, is unified and absolutely focused on making Legend Power a long term successful company.  The market feedback on our new positioning and approach has been very positive.</p>
<p>At the end of Q2 2011, we released a Q&amp;A format update based on the most common questions asked by our shareholders. The following questions and answers are intended to update you on our progress.<br />
<strong>How are things going? Are you making progress?</strong></p>
<ul>
<li>We, the Legend Power Team, have made great progress executing our business plan.  We have cash well into Q1 2012 without sales and with forecasted sales, sufficient cash to see us through another year.</li>
<li>We continue to improve the business by managing our costs and developing a strong sales model:</li>
<ul>
<li> We have reduced our total monthly cash expenses to about $ 140K/month. This is a 30% reduction from January 2011 ($200K/month) and 50% from October 2010 ($280K/month).</li>
<li>Our team is building a repeatable sales process that identifies a prospect&#8217;s energy problems and presents a proven risk free solution to help our customer achieve its energy conservation goals.  Opportunities in the sales funnel are growing.</li>
<li>We have strengthened our sales team with experienced and proven industry sales professionals.  We have added top level talent to execute our improved sales process.</li>
</ul>
</ul>
<p><strong>LPS is 6 months into a turnaround, what have you learned and are you still a believer?</strong></p>
<ul>
<li>Yes absolutely, more than ever!</li>
<li>I am very encouraged by the team’s achievements six months into this turnaround.  We installed several units during 2011 and we have exceeded the targeted energy savings.  This is great news.</li>
<li>Our value proposition is strong and will continue to be refined based on market feedback.</li>
<li>We have secured and are in discussions with several large prospects that have either provided Legend with start up orders or committed to pilot our products and roll out Legend solutions based on meeting agreed parameters.</li>
<li>We are confident that our order book will continue to grow and we expect to achieve a consistent order flow by the fall.</li>
</ul>
<p><strong>Why is the stock price so low since going public?</strong></p>
<ul>
<li>Legend Power did not deliver on the original business plan and investor confidence faded.</li>
<li>Our 2011 new Leadership Team’s turnaround efforts are appreciated but the market is waiting for continued tangible results to confirm that our turnaround plan is effective.</li>
<li>As we deliver on our plan, we will earn the trust of investors and our stock price will reflect that confidence.</li>
</ul>
<p><strong>Why do you believe Legend will achieve sales success now?</strong></p>
<ul>
<li>Legend Power has developed a strong product that is relevant to market demands.  Over the past 6 months we have worked hard towards repositioning Legend as an innovative and proven energy conservation solution.  By reducing our product cost, increasing margins and implementing a strong sales process with proven sales leaders, our chances of success are great.</li>
<li>We have had a good productive first six months. I am personally excited about our progress and the significant opportunity available to us. We are confident that we will continue to show tangible progress quarter by quarter.</li>
<li>We can significantly grow our business without incurring much additional overhead costs. We are scalable.</li>
<li>Legend Power is now ready for success.  We have identified clear goals and have implemented a business plan that will allow Legend Power to develop into a successful organization.</li>

<li> Added a proven sales executive to the Ontario team to provide leadership and improve the sales process</li>

<li> <strong>Reduced Product Cost.</strong> We conducted a review of how our product is manufactured and successfully:

<li> Up until recently we were selling a <strong>unique technology</strong> when our customers were asking for an <strong>energy conservation solution. </strong>Our <strong>value proposition</strong> was heavily skewed towards a technical buyer and was <strong>not aligned with the end decision makers buying criteria</strong>.</li>
</ul>
<ul>
<li> Our sales &amp; marketing process was focused on qualifying a technical fit between a <strong>technology and a building</strong>.  We were successful in getting to see prospects, but not at closing sales.  We are now working towards identifying <strong>solutions for a business. </strong></li>

<ul>
<li> We spent the last 3-4 months improving the product and sales &amp; marketing process and launched a new value proposition in January 2011.  The addition of Peter Hwang, a proven sales leader, to the Toronto team will help bring structure and leadership to the sales and marketing process resulting in a <strong>repeatable sales model</strong> and <strong>greater control of the sales funnel</strong>.</li>

<p><span style="font-size: 14pt"><strong>What are Legends Plans for the next three quarters?</strong></span></p>
<ul>
<li> We are working towards becoming a <strong>world leading sales organization</strong>. We will continue to develop our sales &amp; marketing processes with the end goal of controlling our sales funnel and projecting revenue with accuracy and consistency.  We will achieve consistent and repeatable sales – this is the primary objective of Peter Hwang.</li>
<li> We will <strong>prove our business model</strong> and sales process <strong>in Ontario</strong>.  Once this proof of concept is complete we will begin to <strong>expand into other North American</strong> <strong>markets</strong> with similar attributes to Ontario, using a business model that is proven.  We expect this to result in sustained growth for Legend Power as we expand into new territories</li>

<p><strong>Burnaby, British Columbia – February 11, 2011 – </strong>Legend Power Systems Inc. (TSX.V: LPS) (“Legend Power”) announces that it has granted incentive stock options (the “Stock Options”) to certain directors, officers and employees of the Company to purchase up to 2,200,000 common shares in the capital of Legend Power pursuant to Legend Power’s stock option plan (the “Plan”).  The Stock Options are subject to certain vesting provisions and, in particular, 1,000,000 Stock Options vest in a year’s time and 1,200,000 Stock Options vest over a three-year period commencing the first anniversary.  Subject to the vesting provisions and the terms of the Plan, the Stock Options are exercisable on or before February 10, 2014 at an exercise price of $0.21 per share.</p>

<p>BURNABY, BC, Nov. 5 /CNW/ &#8211; Legend Power Systems Inc. (TSX.V: LPS)  (&#8220;Legend Power&#8221;) is pleased to announce that it has completed the  brokered private placement (the &#8220;Offering&#8221;) previously announced in its  news release of September 20, 2010. The agent for the Offering was  Ionic Securities Ltd. (the &#8220;Agent&#8221;). The Agent exercised its option to  increase the number of Units sold under the Offering up to 23,000,000  units (&#8220;Units&#8221;) for gross proceeds of up to $3,450,000.</p>
<p>The closing consisted of 22,350,332 Units at a price of $0.15 per Unit  for gross proceeds of approximately $3,352,550. Each Unit consists of  one common share of Legend Power (a &#8220;Share&#8221;) and one common share  purchase warrant (a &#8220;Warrant&#8221;). Each whole Warrant entitles the holder  thereof to purchase one Share at a price of $0.25 per Share for a  period of 24 months following the closing of the Offering. Legend Power  is entitled to accelerate the expiry date of the Warrants to the date  that is 30 days following the date Legend Power gives written notice to  the Warrant holders that the trading price of the Shares on the TSX  Venture Exchange (the &#8220;Exchange&#8221;) has been greater than $0.45 for any  20 consecutive trading days.</p>
<p>The Agent received a cash commission equal to approximately 8% of the  gross proceeds raised and nontransferable broker warrants (the &#8220;Broker  Warrants&#8221;) equal to approximately 8% of the Units sold under the  Offering. Each Broker Warrant is exercisable at $0.15 per Share for a  period of 24 months following the closing of the Offering. Legend Power  also reimbursed the Agent for their fees and expenses incurred in  connection with the Offering.</p>
<p>All securities issued in connection with the Offering, and any Shares  issuable on the exercise of the Warrants or Broker Warrants, are  subject to a statutory hold period expiring on March 5, 2011. Final  acceptance of the Offering is subject to filing of final documentation  with the Exchange.</p>
<p>The proceeds from the Offering will be used by Legend Power to fund its  sales operations in Ontario and British Columbia, and for working  capital.</p>
<p>In addition, pursuant to the agency agreement between Legend Power and  Ionic, Bruce Sampson, Michael Costello and William Dunford have  resigned from the board of directors of Legend Power (the &#8220;Board&#8221;), and  Gerry Gill has resigned as President of Legend Power (to stay on as  Chairman, Chief Executive Officer and a director). Legend Power thanks  each of the resigning directors for their past support and dedication.  Legend Power has, subject to Exchange approval, appointed Michael  Atkinson and Randy Buchamer to the Board and Randy Buchamer has been  appointed as President and Chief Operating Officer of Legend Power.</p>
<p>Mr. Buchamer has an extensive background in business administration,  finance and company growth strategies. He has been actively involved in  the Canadian and US business markets as a venture capitalist, director,  senior officer and corporate advisor. Mr. Buchamer has held several  senior roles with startups to large organizations like The Jim Pattison  Group and Mohawk Oil Company. Mr. Buchamer&#8217;s background includes formal  education in business administration and finance at Simon Fraser  University as well as significant experience in SEC, the Exchange, and  Sarbanes-Oxley compliance matters.</p>
<p>Mr. Atkinson brings over eighteen years of expertise in the investment  and venture capital industry to Legend Power. Currently Mr. Atkinson is  President &amp; CEO of two junior oil and gas companies, Canadian Phoenix  Resources Corp., and Petra Petroleum Inc. He is also President of  Maverick Projects Inc., a private consulting company focused on  providing structured finance products and advice relating to strategies  involving financing, mergers and acquisitions within the junior  resource sector.</p>
<p>Previously Mr. Atkinson was Vice President of Quest Capital Corp.  (TSX:QC), a company he helped start, where he was responsible for  corporate communication and bridge lending activities. Within a five  year period at Quest he was instrumental in expanding Quest&#8217;s market  cap from $30 million to over $450 million. As a member of the Credit  Committee at Quest, the committee funded over $1 billion in loans  during his tenure. Mr. Atkinson&#8217;s understanding of the structuring of  investments and project financing is a key asset in investment and  mergers and acquisition efforts.</p>
<p>In conjunction with their appointments to the Board, Legend Power  announces that it has granted incentive share options (the &#8220;Options&#8221;)  to purchase up to 350,000 Shares to Mr. Buchamer and Mr. Atkinson. The  Options vest over a five-year period. Subject to vesting provisions,  the Options are exercisable at an exercise price of $0.21 per Share on  or before November 4, 2015.</p>
<p>Legend Power also takes this opportunity to announce that David Orton  has resigned as Vice President, Sales and Marketing.</p>
